Terms of service

These Terms of Service (the 'Terms') govern access to and use of the Spotwee platform, published by OBVEON GROUP. They define the rights and obligations of Spotwee and of users (Hosts and Renters). Use of the Platform and/or creation of an Account implies acceptance of these Terms.

1. Purpose

Spotwee is a platform connecting, on one hand, owners or managers of venues (Hosts) wishing to offer their spaces for short-term rental, and on the other hand, users (Renters) seeking to rent these venues for various uses (private, professional or creative events). Spotwee acts exclusively as a technical intermediary and is not a party to the rental agreements concluded between Hosts and Renters.

2. Definitions

For the purposes of these Terms, the following terms shall have the meanings set out below:

Platform
All features offered by Spotwee, accessible via the spotwee.com and spotwee.fr domains.
User
Any person holding an Account on the Platform.
Host
User who publishes one or more Venues on the Platform.
Renter
User seeking to rent a Venue via the Platform.
Venue
Space offered by a Host for short-term rental.
Account
Personal space of a User, accessible via credentials.
Booking request
Request sent by a Renter to a Host via the Platform.

3. Registration and account

Eligibility

Registration on the Platform is open to any natural person of legal age and legal capacity, or to any legally constituted legal entity. Minors are not authorized to create an Account.

Account creation

Registration requires the provision of accurate and up-to-date information: email address, password, and, depending on the chosen profile, first and last name. The User undertakes to keep this information up to date.

Credential security

The User is responsible for the confidentiality of their credentials. Any connection or action taken from their Account is deemed to have been carried out by them. In case of suspected fraudulent use, the User must immediately contact contact@spotwee.com.

One Account per person

Only one Account per person is authorized. Creation of multiple or fraudulent Accounts may result in the closure of the relevant Account(s).

4. Description of service

Spotwee offers the following features:

For Renters

Search and consultation of Venues, adding to favorites, sending Booking requests to Hosts, exchanging messages with Hosts via the Platform.

For Hosts

Publishing and managing Venues, receiving and processing Booking requests, exchanging messages with Renters via the Platform.

Spotwee's role

Spotwee acts exclusively as a technical intermediary. Spotwee is not a party to rental agreements concluded between Hosts and Renters. Spotwee does not guarantee the actual availability of Venues, the conformity of advertised services, or the solvency or reliability of Hosts or Renters. At this stage of the service, Spotwee does not process any payment, and any financial transactions are concluded directly between the parties, off-platform. An integrated payment service may be activated later via Stripe.

5. Host obligations

The Host undertakes to:

  • Provide truthful, accurate and up-to-date information about the Venues published (description, photographs, capacity, equipment, indicative prices).
  • Ensure the right to offer the Venue for rental (ownership, owner's authorization, compliance with applicable co-ownership, lease or rental rules).
  • Comply with legal, tax and regulatory obligations applicable to their activity.
  • Respond to Booking requests within a reasonable time.
  • Not publish content that is illegal, misleading, insulting, discriminatory or infringing on the rights of third parties.

Host acting in a professional capacity

A Host acting in a professional capacity remains solely responsible for their legal, tax, social, insurance and consumer information obligations. Spotwee reserves the right to request, at any time, the production of supporting documents (legal status, insurance, administrative authorization) necessary to validate the Host's professional status.

6. Renter obligations

The Renter undertakes to:

  • Provide truthful information about themselves and about the intended use of the Venue.
  • Comply with the conditions communicated by the Host (hours, maximum capacity, venue rules).
  • Communicate respectfully with Hosts via the Platform.
  • Not submit abusive, fraudulent or repeated Booking requests without serious intent.

7. Pricing and commissions

At this stage of the service, access to the Platform is free for Renters and Hosts. No commission is charged by Spotwee on any transactions concluded between Users off-platform. Spotwee reserves the right to introduce in the future paid features (premium subscriptions, promotional options) or a commission system on transactions, subject to prior notification to Users. Any pricing change will not have retroactive effect on ongoing commitments.

8. Payment

At this stage of the service, no payment is processed by Spotwee. Any financial transactions between Hosts and Renters are organized and carried out directly between the parties, outside the Platform. Upon launch of the integrated payment service, it will be delegated to Stripe (PCI-DSS Level 1 certified). Specific terms of use for the payment service will be communicated to Users prior to its activation.

9. Intellectual property

Platform content

The Platform, its design, brand, editorial and technical content (texts, graphics, logos, icons, source code, organization, layouts) are the exclusive property of OBVEON GROUP, except for content provided by Users and third parties. Any unauthorized reproduction, representation, modification or exploitation is prohibited and constitutes infringement under Articles L335-2 et seq. of the French Intellectual Property Code.

User-generated content

By publishing content on Spotwee, the User grants Spotwee a free, non-exclusive, worldwide license, limited to the needs of hosting, display, technical reproduction, translation, promotion and distribution of the content on the Platform and its communication media, for the duration of publication of the content on Spotwee. The User warrants that they hold the necessary rights to the content transmitted to Spotwee, including texts, photographs, logos and information relating to Venues.

10. Personal data

The processing of Users' personal data is governed by the Privacy Policy, accessible from the Platform. This policy is an integral part of these Terms.

11. Spotwee's liability

Spotwee, acting as a technical intermediary and within the limits permitted by law, cannot be held liable for:

  • Content published by Users on the Platform.
  • Transactions, contracts or disputes arising between Hosts and Renters, including agreements concluded outside the Platform.
  • The quality, compliance or actual availability of advertised Venues.
  • Direct or indirect damages resulting from the use or impossibility of use of the Platform.

Spotwee undertakes, as an obligation of means, to deploy reasonable resources to ensure the proper operation and availability of the Platform, without guarantee of absence of error, bug or interruption.

12. Prohibited behavior

The following are strictly prohibited on the Platform:

  • Identity theft or creation of fraudulent Accounts.
  • Publication of content that is illegal, defamatory, insulting, racist, sexist, discriminatory or infringing on the rights of others.
  • Sending spam, unsolicited advertising messages or off-platform communications for commercial purposes circumventing the service.
  • Circumventing the Platform with the aim of evading applicable obligations (future commissions, moderation, mediation).
  • Hacking, intrusion attempts, abusive or automated use of the Platform's technical resources.
  • Any other conduct contrary to law, public order or good morals.

13. Moderation and sanctions

Spotwee reserves the right to moderate, suspend, remove any content or to close any Account in case of breach of these Terms, without prejudice to any legal action. Sanctions are graduated according to the severity of the breach: warning, content removal, temporary Account suspension, definitive closure.

14. Modification of Terms

Spotwee reserves the right to modify these Terms at any time. Users will be informed of substantial modifications by email and/or via the Platform with reasonable notice. Any use of the Platform after the entry into force of the modifications constitutes acceptance of the updated Terms.

15. Termination

Termination by the User

The User may delete their Account at any time via their Account settings. Deletion is effective within thirty days in accordance with the Privacy Policy.

Termination by Spotwee

Spotwee may terminate a User's Account in case of serious breach of these Terms, after formal notice remained without effect for a reasonable period, except in cases of urgency or particularly serious breach justifying immediate termination.

16. Consumer mediation

In accordance with Articles L611-1 et seq. of the French Consumer Code, consumer Users are entitled to free recourse to a consumer mediator for any dispute related to a service provided by Spotwee, after a prior written complaint to Spotwee that has remained without satisfactory response. Spotwee will designate, before the public launch of the consumer service, a consumer mediator referenced by the CECMC and competent for its sector of activity. The mediator's contact details will be published in these Terms and in the legal notice upon designation.

17. Applicable law and jurisdiction

These Terms are governed by French law. Any dispute relating to their interpretation or execution falls within the exclusive jurisdiction of French courts, except where mandatory provisions applicable to consumers require otherwise.

18. Messaging

Purpose

The Platform provides an internal messaging system allowing requesters and owners to communicate following an inquiry relating to a venue, in order to prepare a possible booking, organize the practical arrangements for the event, and ensure follow-up of the exchanges.

Access and scope

Access to the messaging system is restricted to the two participants in the exchange as well as to authorised members of the Platform acting for support, security, abuse prevention, report handling or dispute management purposes, within the limits of their responsibilities.

Acceptable use

You must not use the messaging system for purposes contrary to the law, these terms, or the legitimate interests of the Platform and other users. In particular, the following are prohibited, without this list being exhaustive:

  • sending unsolicited, repetitive or spam-like messages
  • any attempt at fraud, phishing, identity theft or unlawful data collection
  • the dissemination of unlawful, defamatory, abusive, discriminatory, hateful, violent, threatening content, or content infringing the rights of third parties
  • the exchange of information intended to circumvent the Platform's operating rules
  • the communication of third-party personal data without a lawful basis or authorisation
  • the communication of data concerning a minor outside of what is strictly necessary for the service, under the responsibility of the user who transmits it

Contact details and disintermediation

Before acceptance of the request, the Platform may automatically mask certain direct contact details (email addresses, telephone numbers) in messages, in order to secure exchanges, limit fraudulent uses and prevent premature circumvention of the Platform. After acceptance, this masking may be lifted according to the applicable rules. This feature forms part of the normal operating conditions of the service.

Reporting and moderation

The messaging system includes a mechanism allowing content suspected of being unlawful or contrary to these terms to be reported. Reports may result in human review, access restriction or removal of the content, retention of elements for evidentiary purposes, and any reasonably necessary measure to prevent recurrence. The Platform may request any useful information and cooperate with the competent authorities where required by law.

Suspension and measures

In the event of a breach of these terms, a manifestly well-founded report, an attempt to circumvent the Platform, a security issue or a risk to other users, the Platform may suspend or restrict access to the messaging system, remove certain content, or temporarily or permanently suspend the account concerned, subject to the applicable information obligations. Where the user is a professional, any restriction shall be implemented in compliance with the applicable information and reasoning obligations.

Retention of messages

Messages are retained in the active database for 3 years from the last interaction, then deleted, unless there is a legal obligation or a need to retain them for the establishment, exercise or defence of legal claims. In the event of a report or dispute, the strictly necessary elements may be retained for a limited period in a restricted-access area.

Minors

The messaging system is not intended to be used independently by minors to transmit sensitive information or arrange a service without the intervention of a legal representative where required. Users undertake to limit exchanges concerning minors to what is strictly necessary for the organisation of the event.

19. Offerors' status (professionals / individuals) [FR — traduction en cours]

Cette qualité est affichée sur chaque annonce afin de permettre au Locataire d'identifier clairement s'il contracte avec un professionnel ou un non-professionnel, conformément à l'article L111-7, II, 3° du Code de la consommation. Spotwee peut demander à tout Hôte les justificatifs nécessaires (extrait Kbis, numéro de TVA, etc.) et, en cas de doute sérieux ou de fraude, requalifier la qualité affichée, suspendre ou fermer le compte.

20. Listing ranking and referencing [FR — traduction en cours]

[FR — traduction en cours] Spotwee classe les annonces selon des critères pouvant notamment inclure : la pertinence par rapport à la recherche (localisation, capacité, type d'événement, dates), le prix, la qualité des visuels et du descriptif, la qualité du profil de l'Hôte, les avis et notes des Locataires, la popularité de l'annonce, ainsi que des critères éditoriaux ou promotionnels. Conformément aux articles L111-7 et D111-7 du Code de la consommation, Spotwee met à disposition, dans une rubrique accessible depuis toutes les pages, une information claire sur les conditions de référencement et de déréférencement des annonces, les principaux paramètres de classement et leur importance relative, ainsi que l'existence éventuelle de liens capitalistiques ou de rémunérations susceptibles d'influencer le classement. Spotwee peut déréférencer ou suspendre une annonce ou un compte en cas de manquement aux présentes CGU, de contenu illicite ou sur injonction d'une autorité administrative ou judiciaire.
